Fleetx.ai has acquired transportation management system (TMS) provider Pando.ai in a move aimed at bringing fleet visibility, freight execution and artificial intelligence together on a single technology platform. The financial terms of the transaction were not disclosed.
The acquisition comes as logistics companies increasingly adopt digital tools to improve fleet utilisation, freight planning, operational visibility and safety compliance.
Fleetx.ai and Pando.ai to combine logistics capabilities
Fleetx.ai is an AI-native fleet and logistics technology company that has expanded from fleet visibility into AI-powered solutions for industries including logistics, construction, energy, retail and manufacturing.
With the acquisition, Fleetx.ai plans to integrate its AI capabilities with Pando.ai’s transportation management platform. The combined offering is expected to give enterprises a more connected technology stack covering fleet monitoring and freight execution.
Pando.ai will continue operating as a separate brand, retaining its existing product identity and company structure.
Pando.ai has built a customer base across several industries. Its enterprise customers include Sun Pharma, Honda, Castrol, Godrej, Pernod Ricard, Berger Paints, Perfetti Van Melle and Orient Electric.
Fleetx.ai counts companies such as UltraTech, Adani, AM/NS India, MP Birla Group, Maersk, Unilever and Mondelez among its enterprise customers.
Acquisition to accelerate AI adoption in logistics
Fleetx.ai Co-Founder and CEO Vineet Sharma said the acquisition will help create an end-to-end fleet and logistics technology platform powered by AI agents.
The company plans to continue investing in Pando.ai’s products while adding more AI capabilities to its existing platform.
Pando.ai CEO Badrinath Setlur said the transaction will allow the company to accelerate investment in artificial intelligence while continuing to operate with its existing team and product.
Pando.ai’s entire leadership team has joined Fleetx.ai and will continue to manage the Pando.ai business.
Fleetx.ai and Pando.ai target IPO in 18-24 months
The combined company is also preparing for a potential public listing.
Fleetx.ai said it is targeting an IPO over the next 18 to 24 months, with the combined business aiming to achieve ₹300 crore to ₹400 crore in profitable revenue by the time of a potential listing.
The target reflects the company’s ambition to build a larger enterprise technology platform as demand for digital logistics solutions continues to increase.

The acquisition comes at a time when India’s logistics sector is experiencing greater adoption of technology.
Growing trucking volumes, e-commerce activity and industrial transportation are increasing the need for real-time fleet visibility and more efficient freight management.
